HDFC Securities Rights Issue 2026: 1:5 Offer at ₹8,136 Explained

HDFC Securities, the broking arm of HDFC Bank, is asking its shareholders for fresh money. On 21 October 2026, its board approved the HDFC Securities Rights Issue 2026: one new share for every five held, at ₹8,136 per share. The company aims to raise about ₹2,911 crore.

The money is linked to a loan book that grew 57% in just six months. Below, we break down the terms, dates, a simple worked example and the key points every shareholder should understand.

What Is the HDFC Securities Rights Issue 2026?

A rights issue lets a company raise money from its existing shareholders instead of the public. Each shareholder gets the right to buy new shares in proportion to what they already hold.

The main terms of the HDFC Securities 1:5 rights issue are:

  • Ratio: 1 new share for every 5 held
  • Issue price: ₹8,136 (face value ₹10 plus premium ₹8,126)
  • New shares: about 35.78 lakh
  • Amount to be raised: about ₹2,911 crore
  • Shares after the issue: about 2,14,66,873

These figures use the 1,78,89,061 shares outstanding on 30 September 2026. The final number may shift slightly because of ESOP allotments made up to the record date.

HDFC Bank holds 94.01% of the company. If it takes up its full entitlement, it will invest about ₹2,737 crore, while minority shareholders account for about ₹174 crore.

Important Dates and Eligibility

Here is the HDFC Securities rights issue date schedule:

  • Record date: 26 October 2026
  • Issue opens: 7 November 2026
  • Split-form request deadline: 20 November 2026
  • Issue closes: 30 November 2026

Only shareholders whose names were on the company’s register on the record date, 26 October 2026, are entitled to participate. Rules on fractional entitlements and renunciation will be in the offer letter.

How Does the Rights Issue Work?

Consider a shareholder with 100 shares on the record date. Under the 1:5 ratio, they are entitled to 20 new shares. At ₹8,136 each, that costs ₹1,62,720.

If they subscribe, they hold 120 shares and their share of the company stays the same.

If they don’t, they keep their 100 shares, but their percentage ownership falls by about 16.7% once the issue is fully subscribed.

Why Is HDFC Securities Raising Funds?

The main driver is margin trading funding (MTF), where a broker lends money to clients so they can buy more shares than their own cash allows.

The loan book, mostly MTF, grew from ₹7,133 crore on 31 March 2026 to ₹11,197 crore on 30 September 2026. Much of it was funded by commercial paper, a short-term borrowing instrument, which rose to ₹17,613 crore. As a result, debt-to-equity went up to 4.71 times from 3.39 times a year earlier.

The business is growing too. Profit for the first half of FY27 rose 27% to ₹562.5 crore and interest income rose 51%, though finance costs nearly doubled.

If the issue is fully subscribed, net worth would rise to about ₹6,664 crore and debt-to-equity would fall to about 2.65 times. These are estimates, not reported results.

The shareholder letter does not state how the funds will be used. The offer letter should confirm this.

Key Things Investors Should Know

Possible benefits

Lower borrowing relative to equity could give the company a stronger base to support loan growth. Book value per share would rise from ₹2,098 to about ₹3,104, because new money comes in at ₹8,136, nearly four times the current book value.

Risks and trade-offs

Earnings per share (EPS) is expected to dip at first. On trailing profit of ₹1,050 crore, it would fall from about ₹587 to about ₹489, a drop of 16.7%, until the new capital starts earning. Shareholders who skip the issue also see their ownership shrink. And HDFC Securities unlisted shares are illiquid and high-risk.

Issue price vs unlisted price

The HDFC Securities rights issue price of ₹8,136 is about 5% above the last traded unlisted price of ₹7,750 (checked 28 October 2026). It works out to 13.9 times trailing EPS and 3.88 times September book value. Still, the issue price should not be treated as fair market value, and the post-issue numbers above are arithmetic estimates.

Conclusion

The HDFC Securities Rights Issue 2026 is a large, parent-led fundraise tied to rapid MTF growth. It could reduce leverage, but it also dilutes EPS and ownership for those who do not participate. Read the offer letter and check the financials before deciding.
